Unterföhring, 21 October 2025 - ProSiebenSat.1 is set to make far-reaching changes to its corporate management. Marco Giordani, previously Chief Financial Officer (CFO) of MFE-MEDIAFOREUROPE N.V., will take over as Chief Executive Officer (CEO) of the German media group with immediate effect, succeeding Bert Habets. Habets will support Giordani in an advisory capacity until the end of the year to ensure a smooth transition.

There will also be a change in financial management: Bob Rajan will take over the position of CFO on an interim basis from Martin Mildner, who is leaving the company by mutual agreement. In particular, Rajan is to oversee the ongoing reorganisation processes and strengthen the company's profitability.

In addition, Markus Breitenecker, previously Chief Operating Officer (COO), is stepping down with immediate effect. His position will not be filled.

Maria Kyriacou, Chairwoman of the Supervisory Board of ProSiebenSat.1, emphasised that the changes are intended to accelerate the Group's strategic transformation. Giordani brings "broad operational experience, sound financial expertise and many years of management experience", while Rajan's expertise in corporate restructuring will be crucial for the further realignment of ProSiebenSat.1.

Habets and Mildner were recognised for their contributions in the company's phase to date. Habets led the strategic realignment in the entertainment sector and the development of the streaming platform Joyn, while Mildner stabilised the Group's financial basis through efficiency measures and portfolio focussing, including the sale of Verivox. Breitenecker was also recognised for his many years of work in Austria, including the development of PULS 4, PULS 24 and the establishment of Joyn as the leading AVoD streamer.

Marco Giordani joined MFE in 2000 and has more than 30 years of experience in finance, strategy and management of global media organisations. Bob Rajan brings more than 25 years of expertise in corporate restructuring and interim leadership at board level.

The new appointments to the Executive Board are seen as a key measure to better align ProSiebenSat.1 with the changed market conditions and to strengthen its competitive position in the entertainment and streaming segment in the long term.
