Discovery and Paramount is once again causing discussion - this time less about strategic synergies and more about the ownership structure. At the centre of the debate is the question of how much influence foreign capital could have on one of the world's largest media groups in the future.

According to current reports, just under half of the newly formed company would be held by international investors. These primarily include state-affiliated funds from the Middle East. Even though these shares are predominantly structured as „passive“ and do not include any direct voting rights, there is growing scepticism regarding a possible indirect influence on content and corporate strategy.

Operational control should continue to lie with US investors, in particular around Skydance and RedBird Capital. Nevertheless, the debate shows that traditional categories such as „control“ and „ownership“ are becoming increasingly blurred in the globalised media economy.

This development has a major signalling effect for the film and television industry: the financing of major studios is becoming increasingly international - and therefore potentially more political. Particularly in sensitive areas such as news, streaming content or international distribution, the question arises as to what extent capital structures could influence creative decisions in the long term.

In addition, the planned merger is already under regulatory scrutiny. The high level of foreign participation is likely to further intensify the review procedures in the USA and could also attract international attention.

This development is particularly relevant for the European market, including Germany, because major US studios play a central role in co-productions, licence deals and the exploitation of content. Changes at ownership level could also have an impact on these partnerships in the medium to long term.

The discussion about the new ownership structure shows the extent to which the balance of power in the global film industry is shifting. Not only creative decisions, but also capital flows are becoming increasingly international - with unclear consequences for markets, content and political influence.

FILMTAKE reports in detail.

Picture: © Paxabay

The planned reorganisation centred on Warner Bros.
