RTL Group is responding to the imminent takeover of Sky Deutschland with a targeted share buyback. The media company has announced that it will buy back up to four million of its own shares, which corresponds to around 2.6 % of the share capital. The buyback will take place at a price of between €30.85 and €37.85 per share.

The background to the buyback is the planned payment of a variable component of the purchase price for Sky Deutschland. By building up its own share portfolio, RTL can settle this component - which amounts to up to € 377 million - in shares in full or in part. Alternatively, the repurchased shares could also be used for future acquisitions.

The acceptance period for the offer runs from 4 to 12 September 2025. Bertelsmann, the majority shareholder with a stake of over 76 %, has already agreed to contribute two million treasury shares, which will be taken into account at the final buyback price.
