The planned takeover of Warner Bros. Discovery through Paramount Global has cleared a key regulatory hurdle in the US. The US Department of Justice has approved the transaction without conditions and does not see any significant competition concerns in the streaming, TV or cinema markets.

The decision is seen as a significant step forward in the approval process for the potential mega-merger. At the same time, the deal is still not finalised: several US states are considering possible antitrust lawsuits, and regulatory investigations are also underway in the EU and the UK. This means that, despite the DOJ’s approval, the merger remains politically and regulatory uncertain.

Should the merger go ahead, it would create one of the world’s largest integrated media groups – with considerable market power in streaming, film production and traditional TV distribution.

At the same time, a counter-trend is continuing in the cinema sector. The Kinepolis Group is taking over all 13 of Showcase Cinemas’ US locations. The deal, worth around 30 million dollars, covers cinemas in several US states and significantly strengthens the Belgian operator’s position in the North American market.

The cinemas are to be retained and, in some cases, modernised, whilst the „Showcase Cinemas“ brand name will be retained. For Kinepolis, the transaction forms part of a long-term expansion strategy in the US, whilst former studio-linked ownership structures are increasingly withdrawing from the day-to-day running of cinemas.

This dual trend reveals a clear market shift: whilst at studio level, power is becoming increasingly concentrated through potential mergers, the day-to-day running of cinemas is increasingly being handed over to specialist exhibition operators. This marks a continuation of the separation between content production and cinema distribution – alongside growing consolidation on both sides of the value chain.
