The European Commission has authorised the planned acquisition of Sky Deutschland by RTL Group without any conditions. This clears the way for one of the most significant consolidations in the German-speaking media market. The transaction is expected to be completed on 1 June 2026.
The decision marks a decisive milestone in the agreement between RTL Group and Sky parent company Comcast, which was announced in June 2025. The acquisition unites two major media brands in the DACH region and creates a company with around 12.3 million paying subscribers.
Strengthening in competition with global platforms
RTL CEO Thomas Rabe described the approval as an important step for the European media industry. The merger will significantly expand investment opportunities in content, technology and talent. The aim is to strengthen competitiveness against international streaming platforms.
Sky also sees new growth prospects in the merger. Sky Germany CEO Dana Strong referred to the company's positive operational development in recent years and emphasised that the merger would further consolidate its long-term market position.
Combination of sport, entertainment and news
The merger bundles key content from both providers: Sky will contribute the rights to the Bundesliga, DFB Cup, Premier League and Formula 1, among others, while RTL will contribute its strengths in entertainment, news and free TV as well as the RTL+ streaming platform. In addition, the streaming brand WOW will become part of the RTL portfolio.
This creates an integrated offering across multiple platforms - from free TV to pay TV and streaming services.
Synergies and structure of the transaction
RTL Group expects to realise annual synergies of around 250 million euros within three years, in particular through cost savings. The acquisition will be made on a cash-free and debt-free basis. RTL will initially pay Comcast 150 million euros, supplemented by a performance-based earn-out of up to 377 million euros.
As part of the agreement, RTL will also receive the rights to use the Sky brand in the DACH region and other European markets. The locations in Cologne (RTL Deutschland) and Munich (Sky Deutschland) will be retained.
New market player in German-speaking countries
Following completion of the transaction, RTL Deutschland will be under the management of CEO Stephan Schmitter. He sees the merger as a strategic opportunity to actively shape the German-language media market and provide a comprehensive offering of sports, entertainment and information.
The takeover creates one of the largest integrated media companies in the German-speaking region - with a clear focus on streaming, premium content and competition with global platform providers.
